Terms and Conditions
1. Definitions and Interpretation
This establishes key terminology including "Campaign details," "Commencement Date," "Services," "Links," and "Monthly Payments." Dan Singa's registered office is located in Australia.
2. Basis of Contract
The contract begins on the Commencement Date. These Conditions apply to the Contract to the exclusion of any other terms the customer attempts to impose. Quotations remain valid for seven days and aren't binding until accepted.
3. Delivery
Work begins after the agreement is signed and an invoice issued. Services are delivered by uploading relevant materials online. Contract length, payment terms, and termination conditions appear in the Confirmation of Order Form. Campaigns may be paused for maximum 30 days with written request.
4. Price and Payment
GST/VAT applies to all fees. Monthly payments are invoiced on the first of each month, due by the 14th. If payment is 14+ days overdue, 50% of remaining contract value becomes immediately due. Interest accrues at 5% annually on late payments.
5. Cancellation & Insolvency
Dan Singa may cancel if technical issues arise beyond their control or if the customer breaches terms. After 14 days' notice for remediable breaches, or immediately for non-remediable breaches, 50% of the balance of any monies due will immediately become payable.
6. Customer Obligations
Customers must provide accurate information, comply with reasonable requests, and ensure IT personnel are available to assist promptly.
7. Service Delivery
Dan Singa may subcontract services. Third-party delays don't excuse Dan Singa performance failures.
8. Links Provision
Dan Singa cannot be responsible for any interference with the Link that takes place by the service provider, Google or any third party. Link duration cannot be guaranteed.
9. Exclusion of Liability
Dan Singa isn't responsible for: third-party interference, customer IT modifications, Force Majeure events, customer hardware/software issues, or customer failure to implement recommendations within 14 days.
10. Ranking Guarantee
Dan Singa may offer free work if campaign targets aren't met, but this is waived if customer breaches payment, terms, or other obligations. Website downtime exceeding 14 days per two months voids the guarantee.
11. Limitation of Liability
Dan Singa's total liability shall not exceed the price of the Services sold or rendered during the period of one year prior.
12. Force Majeure
Defines force majeure as events beyond reasonable control, including strikes, lock-outs, acts of God, war, terrorism, and other catastrophic events.
13. Assignment
Dan Singa may assign rights/obligations freely; customers cannot without written consent.
14. Notices
Communications must be written, sent to registered office or specified address, via post, courier, or email.
15. Severance & Waiver
Invalid provisions are severable. Waiver must be written and doesn't affect future breaches.
16. Confidentiality
Both parties maintain confidentiality of technical/commercial information. All materials supplied by Dan Singa shall at all times be the exclusive property of Dan Singa.
17. Privacy
Dan Singa maintains a Privacy Policy compliant with Australian Personal Data Protection Acts.
18. Governing Law
These terms are governed by Australian law. Dan Singa reserves the right to update terms unilaterally.
